Yes, in my example, $3.4 million is the total purchase price, inclusive of WCAP. You will want to be clear and up front with the Seller regarding WCAP / Valuation.

Great explanation of the higher level figures to arrive at EBITDA to use for a valuation. In your 10% down amount of a $3.4MM purchase price, and when using an SBA loan, does the $3.4MM price include all working capital as well? And say a company is bought with real estate, would some modifications have to be made to the spreadsheet?
